Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Erlly Technology ("we", "us", or "our"), including the D365 Agent platform accessible at erlly.com ("Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

The Service is intended for business use only. You must be at least 18 years old and have the authority to bind your organisation to these Terms. The Service is not intended for personal or consumer use.

2. Account registration

You must register through our authentication provider (Clerk) and create an organisation account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription plans and billing

3.1 Plans. We offer four subscription tiers: Advisor ($99/month), Executor ($209/month), Inspector ($269/month), and Autopilot ($419/month). Each tier includes a 7-day free trial. Features and monthly usage limits differ by tier as described on our pricing page.

3.2 Add-on packages. Additional run packages may be purchased as one-time payments. Purchased runs do not expire and are consumed after your monthly base allocation is exhausted.

3.3 Billing. Subscriptions are billed monthly in advance in USD via Stripe. By providing a payment method, you authorise us to charge your payment method on a recurring basis.

3.4 Free trial. Each subscription tier includes a 7-day free trial with a limited number of runs. A valid payment method is required to start a trial. You will not be charged until the trial ends. You may cancel before the trial ends to avoid being charged.

3.5 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months or unused runs.

3.6 Price changes. We may change subscription prices with 30 days' notice. Continued use of the Service after a price change constitutes acceptance.

4. Acceptable use

You agree not to:

  • Use the Service to access, modify, or delete data in Dynamics 365 environments you do not own or are not authorised to manage
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Resell or sublicense access to the Service without our written consent
  • Use the Service in any way that violates applicable laws or regulations
  • Transmit malicious code, conduct denial-of-service attacks, or attempt to gain unauthorised access to our systems

5. Your data and D365 credentials

5.1 Ownership. You retain all ownership of your data, including ticket content, Dynamics 365 configuration data, and credentials you provide to the Service.

5.2 D365 credentials. Client secrets and OAuth credentials you provide are encrypted at rest using AES-256 encryption and are used solely to execute configuration tasks on your behalf. We do not use your credentials for any other purpose.

5.3 AI processing. Ticket content and configuration instructions are sent to Anthropic's Claude API for analysis and generation. By using the Service, you consent to this processing. Do not submit content that is classified, personally identifiable beyond what is necessary, or subject to export controls.

5.4 Licence to operate. You grant us a limited licence to process your data solely to provide the Service.

6. Intellectual property

The Service, including all software, designs, and documentation, is owned by Erlly Technology and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • We are not liable for any loss of data, loss of profits, or business interruption resulting from configuration changes made by the Service in your Dynamics 365 environment
  • Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the three months preceding the claim

You are solely responsible for reviewing and approving any configuration changes before they are applied to production Dynamics 365 environments.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT CONFIGURATION OUTPUTS WILL BE ACCURATE OR FIT FOR YOUR PARTICULAR DYNAMICS 365 ENVIRONMENT.

9. Indemnification

You agree to indemnify and hold harmless Erlly Technology and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may suspend or terminate your access to the Service immediately if you materially breach these Terms. Upon termination, your right to use the Service ceases. Sections 5, 6, 7, 8, 9, and 11 survive termination.

11. Governing law

These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of British Columbia.

12. Changes to these Terms

We may update these Terms at any time. We will notify you of material changes by email or by displaying a notice in the Service. Continued use after the effective date constitutes acceptance of the updated Terms.
